I know this question was asked many times... but...

I was looking through tirerack.com and found that the offset on the 15" w124 wheel was 40mm...

Then I compared them with the w140 16" wheel and the offset was also 40mm

Now, I do not have any idea why w140 wheels wont fit on a w124... what I read was that offset and bolt sizes are different... but I see that offset is the same... and bolts can be changed, right?

can someone please explain they say it wont fit?

Offset is the same, sure. But the width of the wheel is different.
(6.5 or 7x15 for the 124... and 7.5 or more for the W140).

The rim may touch the brakes.

Are you sure of the ET40 for W140 rims?? Usually it's more like ET49...

On my coupe, I've W210 wheels : 7.5x16 ET 41

Thats what I saw at tirerack yesterday... now when I revisited the site it gave me an offset of +38 for a w124 ASA 8 rim and +40 for a w140 for the same model. Both are 16x7.5...
Now, the reason I am asking, is that I can get the w140 16" rims for almost nothing, but I wanted to make sure that they would not cause any future problems...
