^^Correct, the head room is the same on both but with the panoramic roof the car feels bigger inside. Optical illusion I feel.

thanks for the input everyone. ive since sat in 221s equipped with and without the panorama roof and it seems as though the feature adds the slightest amount of headroom (a quarter to a half an inch). note, not an optical illusion, as suggested, as i matched the areas directly over head (and, the shade was closed – though not interfering w/ measurement of same).

Were both the cars seats in the same height position?

I believe cars with the panorama roof have slightly more headroom than cars with the moonroof, because the height required for the moonroof to retract into the headliner is more than the height of the panorama roof (which retracts above the car). However, a car with no moonroof or pano-roof has more headroom because it doesn't have the 1-2" loss from either mechanism.
