Looking to upgrade, I always wanted a diesel, is the 06 320CDI CPO with 40K a good car? I know that W211 very quiet buggy, but 06 is the 3rd year and its CPO to cover all the bugs.
I only miss the 4matic on the CDI, but want to have this car for the long run (last car until retirement). Previous car is '99 C280, 102k miles, very solid (some rust problems).
Great year! No bugs at all! All SBC updates were installed at the factory. The Pre-2006 were not bad cars but did require a detailed review of the updates to the car.
40,000 mile is nothing for the car, the engine won't reach it's full break in until around 60,000 to 80,000 miles (point that compression stops rising and stabilizes). These engines EASILY last 750,000 to 1.2 million miles if taken care of properly.
The car is due for a 39K service: Transmission fluid and filter change, differential fluid replacement, brake system fluid flush/accumulator check, and other required normal services.
I strongly suggest using Elf Excellium Full-Tech 0w30 vs Mobil 1, much better wear rates and provides the 19,000 mile service life required to meet the official MB 229.5 approval (which it has). The Oil is now sold as Total Quartz, just check for either the MB229.5 or MB229.51 certifications.

What would be a good price for this car? The dealer listed at $39.5k, I understand there are only a few MB CPO diesels in the NE area but just wanted to check around.
Is it V6?
I am on the market for similar car and what I see that some 2006 comes with I=6 some with V6 where V6 suppose to be quite superior. Saying that I can buy 2006 with V6 for about 34k, but not CPO.
'06 CDI has the cast iron I-6 diesel. Not quite as much torque or HP as the '07 and newer aluminum V6 Bluetec diesels, but gets better economy and has PLENTY of power.
V6 is newer and quieter, but I actually prefer the sound of my I-6. I drove both and took an '06 leftover in early '07.
I'd think $36-37K would be reasonable, but condition and options will make a difference.

I presume its highly worth it to get a CPO and not worry about the headaches?
Again, what headaches are you referring to in respect to the CDI E320 Models? The CDI has been one of the most bullet proof platforms aside from the SBC issue that really wasn't (fixed before offical release of the CDI in the US market).
Personally, as long as the dealer performs all the required servicing BEFORE delivery and payment then you have a screaming deal. If they expect YOU to pay for the services be prepared for a $800 service when it is all said and done (give or take).
Personally I don't value CPO on 2 years old car at all. As said -the cars are bulletproof and MB owners seem to take good care about them.
Than you still have factory warranty valid.
So where would be CPO value? If it comes with no price tag, I take it, but spending several thousands more for the model only to have CPO makes no sense. Better spend that money for extended warranty.
But than with new cars selling $7,000 below MSRP, when you calculate the given price plus extended warranty plus junk fee used car sellers like to add, you are very close to new car.
