I'm going to agree with gregs210; I'd take an E over a C based on the heavier ride and feel. The E-Class just feels more substantial to me...

Two different cars. I own a 1998 E320 sedan and 2002 C320 wagon.
Both are very different cars, with distinct personalities. The C series (even in wagon trim, is sportier). The E series is more sedate.
I've driven loaner C240's from the dealer (2005 models) and I prfer the C320. The engine in the C320 is bigger and more powerful. Also, the C320 comes with more luxury features as standard equipment than the C240 does.
The back seat of the C series is a bit tight in room. If you plan to drive with back seat passengers (unless they are small kids) I'd look at the bigger E class cars.
Both are Mercedes, so no matter what you chose, you'll still come out a winner. [:D]

Having driven a C240 several times I would say that it is my least favorite product that Mercedes makes. The engine is so under powered and disapointing. I would get the E-Class with no question. It would at least have to be a C320 for me to even think about the choice.

Having owned both, I would go for the E-Class, but I would try to get a 2000+ model as this was the year of the facelift.
The E suits a family more as it is larger and heavier. The ride is better and overall I think it is the better car.
The C240 was fun, but lacked a lot of rear seat room. It is also smaller in the front and didn't have a great deal of power.
Both are great cars so determine how long you plan to keep it, where you are in your life (married, kids, having kids, dogs, etc.) and pick accordingly. Either will be great.
