I'd go with the E430. My dad just got one, same year. Nicer car. Stronger engine, gas mileage not that different. Nicer wheels/suspension. Especially for almost the same money.
I vote for the 430 as well... Not that the 320 is slow, but the V8s are a lot of fun to drive and don't really get gas mileage that's much worse than the V6s (in my experience).
I just bought a 2001 E430 in July. Definitely recommend it over the 320 for power. Passing power is great, 4 matic handles like a charm, very secure on teh road when driving. My wife feels very safe in it, and likes not being beaten off the line by other cars at a light! [:D]
I just drove 2 E430s. Both 2001, one in desert silver over tan and one black over gray. Great pickup. Initially i thought the black, but after seeing it covered in road salt i think the lighter color might be the ticket.

Yes, I've drooled over black cars for a long time, and now that I finally have one, wish that I had stuck to silver. It took us a while to get out the swirlmarks that some idiot detailer must've put on the car, and now it's just covered in salt... It's a beautiful car, but it just takes more attention than the lighter colors, especially in the winter.
Desert silver to me is the ugliest color MB has had. In fact cars of this color are usually the last ones to sell and do not retain as much value as other colors. I for one can't fathom anyone wanting a desert silver car which is actually a brown.
