Just wanted to make sure that I should just replace the O2 Sensor and if anyone knows what the part number is (and cheapest place on the net to buy it)

Currently suggested part number for 2000 MB ML320 is Bosch #13782 (www.bosch.com has that suggestion as well) . It is available also at Autozone, Advanced Auto Parts. I've got my last two at Advanced Auto Parts in Bridgeport, CT - they had them in stock - price under $100.00.
When removing old O2 sensors, try to be as careful and patient as you can. I've been both, and in spite of it, and using repeatedly /torch heat/ice cold/ cycles, combined with WD-40, I've damaged both "after the CAT" sensors - they were seized, and didn't come out, without leaving their threads inside the O2 sensor sockets. I am still working on repairing the O2 socket on the left CAT.
I found the sensor at mbpartswarehouse.com for $86.95 with free shipping just to let you know! Lowest price I could find on the internet and I scoured ebay, amazon & google. Less than Autohausaz and I have ordered from them before.

AUtohausAZ has a "free shipping" if more than $50, if I recall correctly.
Today, discussing with a mechanic, about my O2 sensor sockets, he told me he is heating the O2 sensor to "red" and removes them then, when they're soft.

I got the same codes today. Can someone tell me the original part numbers and where the sensor is located.
The sensors screw in to the exhaust pipes around the first catalytic converter area of the pipe. You can see one or two of them behind the engine where the exhaust pipe is visible, the other ones are easy to to get to from under the car.
The info on the correct sensor is above, BOSCH 13782. I got mine from Autohausaz. Easy replacement, you'll simply need the correct sized wrench to back them out, might need a little force depending on how long they've been in there, unplug it from the clip that connects to it, put some seize on the new one, screw it in, plug it into the clip. Remove the battery cable for a few seconds, put it back on, and you should be set.
