My .02, being in the middle of a 4.5 project right now..
sounds like a nice car. does it have a sunroof? the sunroofs are huge, make them more fun to drive in sunny CA, and they are worth more with a sunroof. i can tell you, these cars will nickel and dime you to death. I am putting one back on the road that has only 35k miles and it has been a constant flow of money for parts, special tools etc. and lots of time. Good news is there are many cheap parts sources here in LA, but when you're done, you'll have an enormous car which gets 13MPG on a good day... dropping in an engine is not as easy as it sounds, especially without the proper facilities... if it's a perfect car otherwise, it might be worth it, if you really want a 4.5 .
If you like the bodystyle and want a driver project, I would suggest you find a 6 cylinder model, (280se, 280s, 250s, etc) so much easier to work on and much better MPG, performance is not bad on the 6 either. I'm in burbank, if you need help I'm happy to share what I know. The V8 is a great engine, but the D Jet is not very sophisticated and having driven both extensively, I think the 6 cylinder cars are just as competent as drivers and easier to live with both maintenance and MPG wise
